Recently, Federal Judge in New York issued a preliminary injunction that distribution of the TON’s $GRAM token would violate U.S. securities laws. Сonsidering the economic realities under the Howey test, the Court finds that the resale of Grams into the secondary public market would be an integral part of the sale of securities.
We decided to consider which crypto assets have characteristics that make it more or less likely to implicate federal securities laws, with the help of CRC Securities Framework Asset Ratings, based on the Howey test and statements from SEC Staff relating to digital assets.
